These Terms & Conditions (“Terms”) govern your use of medrankers.com and your purchase or use of services provided by MedRankers LLC, a Rhode Island limited liability company. “MedRankers,” “we,” “us,” and “our” refer to MedRankers LLC. “Client,” “you,” and “your” refer to the person or business using the website or purchasing services. By using the website or purchasing services, you agree to these Terms.

A signed proposal, order form, statement of work, or service agreement controls the Client-specific scope, pricing, deliverables, and performance measurements. The cancellation and refund provisions below apply unless a signed agreement provides the Client with more favorable rights.

1. Website Use and Informational Content

The MedRankers website provides general information about local visibility, Google Business Profile optimization, Local Pack visibility, local SEO, GEO and AI visibility, and related marketing services. Website content is not medical, legal, compliance, tax, or financial advice.

You may not misuse the website, attempt unauthorized access, interfere with its operation, introduce malicious code, or use its content for an unlawful or deceptive purpose.

2. Services and Scope

MedRankers provides marketing and local visibility services for independent practices. Services may include a Visibility Diagnostic, Google Business Profile optimization, Local Pack and local search optimization, website recommendations, citation work, reporting, and GEO or AI visibility support.

The services, deliverables, fees, timelines, and responsibilities included in a Client engagement will be described in the applicable proposal, order form, or service agreement. Work outside the documented scope may require additional written approval and fees.

3. Month-to-Month Service and Cancellation

Monthly management services are provided on a month-to-month basis. There are no long-term contracts for monthly management services.

• A Client with an active paid monthly management subscription may cancel at any time and for any reason.
• Cancellation may be submitted in writing to info@medrankers.com.
• MedRankers will stop work immediately when the cancellation becomes effective.
• All future recurring monthly payments will be canceled.
• MedRankers is not required to continue services or complete additional deliverables after cancellation unless the parties agree otherwise in writing.

4. Anytime Money-Back Guarantee

When a Client with an active paid monthly management subscription cancels, MedRankers will refund the most recently paid monthly management fee.

• The refund does not depend on whether the 90-Day Top 3 Target was achieved or not achieved.
• The Client does not need to demonstrate unsatisfactory performance or provide another reason for cancellation.
• The guarantee is limited to one refund per Client or practice.
• The refund is limited to the most recently paid monthly management fee and does not include the non-refundable amounts listed below.
• Refunds will normally be returned through the original payment method. Processing time may depend on the payment processor and the Client’s financial institution.

5. Visibility Diagnostic, Promotional Inclusion, and Other Non-Refundable Amounts

A new-client subscription offer may include the applicable Visibility Diagnostic and setup at no additional cost: a $500 Visibility Diagnostic and setup with Core Local Visibility, or a $750 Visibility Diagnostic and setup with Local + GEO Growth, as stated in the applicable offer, proposal, or order form.

When the Visibility Diagnostic and setup are included at no additional cost, no separate Diagnostic or setup fee is charged. These included items therefore have no separate refundable amount and do not reduce the eligible refund of the most recently paid monthly management fee.

Except where otherwise required by applicable law, the following separately charged amounts are non-refundable:

• Fees for a separately purchased Visibility Diagnostic;
• Setup or implementation fees charged separately and identified in a proposal or order form;
• Monthly management fees paid before the most recently paid monthly management fee;
• Advertising spend and media budgets;
• Software, reporting, tracking, and platform fees;
• Citation, directory, listing, content, or data-provider fees;
• Other third-party costs or pass-through expenses incurred for the Client.

The Anytime Money-Back Guarantee applies only to the eligible monthly management fee and does not convert these separate amounts into refundable fees.

6. Recurring Billing and Payment

Monthly management subscriptions renew and are billed each month until canceled. By enrolling in a subscription, the Client authorizes MedRankers and its payment processor to charge the approved payment method for the recurring monthly fee and any separately approved charges.

Fees are due according to the applicable invoice, proposal, or order form. MedRankers may pause work for an overdue payment. Any pricing change for a future monthly billing cycle will be communicated before the affected charge.

8. No Guaranteed Rankings or Business Results

MedRankers does not guarantee any particular search ranking, Local Pack position, number of calls, leads, appointment requests, patients, reviews, AI citations, recommendations, conversions, revenue, or return on investment.

Search visibility and business results may be affected by location, proximity, competition, market demand, the Client’s reputation and operations, platform policies, algorithm changes, website condition, profile eligibility, user behavior, and other factors outside MedRankers’ reasonable control. Forecasts, examples, case studies, and estimates are illustrative and are not promises of future performance.

9. Client Responsibilities

The Client agrees to:

• Provide accurate, current, and complete business information;
• Provide required access, materials, approvals, and responses within a reasonable time;
• Maintain an eligible and verified Google Business Profile when required for the services;
• Review and approve clinical statements, medical claims, offers, advertising, and regulated content before publication;
• Comply with applicable laws, professional rules, privacy requirements, and third-party platform policies;
• Avoid unauthorized changes that could interfere with agreed work or measurement;
• Keep invoices and approved third-party expenses current.

Timelines and performance measurements may be extended or adjusted when Client delays, inaccurate information, access problems, unauthorized changes, suspensions, relocations, ownership changes, rebranding, or other Client-controlled events materially affect the work.

10. Healthcare Information and PHI

MedRankers provides marketing services and does not provide medical care or clinical advice. The Client remains responsible for its medical services, patient communications, professional obligations, and compliance requirements.

Do not submit patient names, medical information, medical records, diagnoses, treatment information, insurance information, or protected health information (“PHI”) through the MedRankers website, inquiry forms, or ordinary email.

Standard MedRankers services are designed not to require patient records or PHI. Use of the website or purchase of standard services does not by itself create a HIPAA business associate relationship. MedRankers will not agree to receive or process PHI unless the parties first determine that it is necessary and execute any required written agreement, including a Business Associate Agreement when applicable.

11. Third-Party Platforms and Services

MedRankers may work with or provide links to third-party platforms, including search engines, business directories, analytics tools, AI systems, hosting providers, software providers, payment processors, and advertising platforms.

These services are controlled by their respective owners. MedRankers is not responsible for their availability, outages, policy decisions, algorithm changes, data accuracy, account suspensions, security practices, or content. The Client is also responsible for complying with the terms applicable to its third-party accounts.

12. Intellectual Property and Client Materials

The MedRankers name, website, branding, original text, designs, processes, templates, reports, and other materials are owned by MedRankers or its licensors and are protected to the extent permitted by law.

The Client retains ownership of materials it provides and grants MedRankers permission to use, reproduce, edit, and publish those materials as reasonably necessary to perform the services. The Client represents that it has the rights and permissions required for materials it supplies.

Ownership and permitted use of Client-specific deliverables will be governed by the applicable proposal or service agreement. Third-party tools, software, stock assets, fonts, plugins, and data remain subject to their respective licenses.

13. Confidentiality

Each party will use reasonable care to protect non-public business information received from the other party and will use it only for the engagement. Confidential information does not include information that is publicly available through no breach, independently developed, lawfully received from another source, or required to be disclosed by law.

14. Disclaimers

To the maximum extent permitted by law, the website and services are provided on an “as is” and “as available” basis. MedRankers disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Nothing in this section limits the express cancellation and refund rights stated in these Terms or any right that cannot lawfully be excluded.

15. Limitation of Liability

To the maximum extent permitted by law, MedRankers will not be liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, lost business opportunities, loss of data, or reputational harm arising from the website, services, or third-party platforms.

To the maximum extent permitted by law, MedRankers’ total aggregate liability arising from the website or services will not exceed the fees paid to MedRankers for the affected service during the three months immediately preceding the event giving rise to the claim. This limitation does not reduce the Client’s express rights under the Anytime Money-Back Guarantee and does not apply where liability cannot lawfully be limited.

16. Indemnification

To the extent permitted by law, the Client agrees to indemnify and hold MedRankers harmless from third-party claims, losses, and reasonable expenses arising from Client-provided materials, the Client’s medical or business operations, unlawful or misleading claims approved or supplied by the Client, violation of applicable law or platform policies, or misuse of the website or services.

17. Suspension and Termination by MedRankers

MedRankers may pause or terminate services for nonpayment, unlawful or deceptive activity, material breach of an agreement, security risk, abusive conduct, failure to provide required access, or activity that may violate a third-party platform’s policies.

If MedRankers terminates an active monthly management subscription without a Client breach, MedRankers will cancel future recurring payments and provide any refund required by the applicable agreement or these Terms. Provisions concerning payment obligations, intellectual property, confidentiality, disclaimers, liability, indemnification, and disputes survive termination where applicable.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Rhode Island, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be brought in a state court with jurisdiction in Providence County, Rhode Island, or the United States District Court for the District of Rhode Island, unless applicable law requires otherwise.

19. Changes and General Terms

MedRankers may update these Terms to reflect changes to services, business practices, technology, or legal requirements. The revised Terms will be posted on this page with an updated “Last updated” date. Material changes affecting an active paid service will be communicated when required.

If any provision is found unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. The Client may not transfer an agreement without MedRankers’ written consent. These Terms together with the applicable proposal, order form, statement of work, or service agreement constitute the agreement concerning the covered subject matter.
